POLYDIOMS General Terms and Conditions (GTC)

By ordering or purchasing Services from POLYDIOMS SAS, a company registered in the Commercial Register of Paris under the number 912 783 057 and headquartered at 21 rue Deparcieux, 75014 PARIS, France (hereinafter referred to as “POLYDIOMS”), the Purchaser acknowledges their full and unconditional acceptance of these general terms and conditions of sale (hereafter "GTC"). These GTC apply to all purchases of Services made by any individual or entity, whether acting in a professional or personal capacity.

1. DEFINITION OF SERVICES

POLYDIOMS offers a diverse range of services which includes, but is not limited to, language courses, translations, consulting, and children's workshops. These services are primarily offered online, but in-person services, including language classes, children’s workshops and interpretation services, are available based on availability and may incur higher fees.

2. IN-PERSON SERVICES

For in-person services, including interpretation, fees are higher. If a client requires an interpreter or translator at a specific location, they must guarantee the safety of the POLYDIOMS employee and cover all travel-related expenses, including transportation, accommodation, and meals.

3. CANCELATIONS

  • Classes: Cancellations made at least 48 hours prior to the class allow the client the ability to reschedule. No refunds are available for classes. If the cancellation is not made within the specified timeframe, no refund or rescheduling will be possible.
  • Trainings: Cancellations for training sessions must be made at least 2 weeks in advance.
  • Consulting: Cancellations for consulting are permissible up to 2 weeks before the service, with a retention of 20% of the fees.
  • Translations: No cancellations are allowed once the translation process has started. Any cancellations or changes must be communicated in writing.

4. DELIVERY TIME

Delivery time for translations, course materials, or other language services are provided as an indication only and do not bind POLYDIOMS. Delays in delivery of online content or services do not hold POLYDIOMS liable and do not entitle the Purchaser to cancel the order, refuse the service, or claim damages, interest, or penalties of any kind. POLYDIOMS will not be able to meet its stated delivery times in the following situations:

  • If the Purchaser fails to provide necessary materials or information on time;
  • In the event of force majeure, including but not limited to, network outages, platform downtimes, or other unforeseen online interruptions;
  • If there are unexpected complexities in the requested language service that require additional time.

5. ONLINE DELIVERY AND ACCESS

  • Once a service is ready for delivery, POLYDIOMS will provide the Purchaser with appropriate online access, be it through direct file transfer, links to downloadable materials, or access to an online portal or platform.
  • a) Claims: Any complaint about the quality or content of the provided service must be sent to POLYDIOMS via registered mail with acknowledgment of receipt within eight (8) calendar days from the service completion date.
  • b) Access Issues: Should the Purchaser face any technical difficulties in accessing or retrieving the services, they are encouraged to contact POLYDIOMS promptly for assistance.

6. TERMS OF PAYMENT

  • Upfront Payment Requirement: All payments for services offered by POLYDIOMS must be made in full and upfront before the commencement of the service. Failure to adhere to this upfront payment policy may result in withholding or delaying the provision of the service.
  • Liability for Payment: Should any service be provided to the Purchaser prior to receiving the complete payment, the Purchaser remains bound to pay the full amount as per the terms of the agreement or order. Non-payment of such dues may result in legal actions or other remedies available to POLYDIOMS.
  • Late Payment Charges: In instances where a payment agreement exists and the Purchaser defaults on the payment, late payments will accrue interest at four times the legal interest rate from the day following the invoice's stated payment date. Additionally, POLYDIOMS may impose a penalty of fifteen percent (15%) of the outstanding amount.
  • Collection Costs: Delayed payments also result in a fixed collection cost of fifty euros (EUR 50). Should actual collection costs exceed this amount, POLYDIOMS may seek further compensation, with proof of the additional costs provided.

7. RETENTION OF TITLE

All linguistic materials, whether digital or physical, provided by POLYDIOMS remain the property of POLYDIOMS until full payment is received. If the Purchaser fails to complete the payment, POLYDIOMS has the right to withhold or reclaim any delivered content or linguistic materials. However, once the materials or services are delivered, the Purchaser assumes all associated risks.

8. INTELLECTUAL PROPERTY

The Intellectual Property Rights of any original content, translations, or other linguistic services provided remain with POLYDIOMS. The Purchaser is granted a non-exclusive right to use the linguistic services provided. Unauthorized reproduction, dissemination, or modification of the linguistic content without the prior written agreement from POLYDIOMS is strictly prohibited.

9. QUALITY AND ACCURACY

POLYDIOMS commits to delivering linguistic services that adhere to industry quality standards. However, variations in language interpretation, nuances, and regional dialects may lead to subjective differences in translations or language services.

10. WARRANTIES

  • a) Standard Warranty: Linguistic services are guaranteed for accuracy and quality for a duration of thirty days from delivery. This warranty excludes alterations made by the Purchaser or third-party influences after service delivery.
  • b) Claims and Revisions: If discrepancies or errors are found within the warranty period, POLYDIOMS agrees to make necessary revisions free of charge.

11. LIABILITY

While POLYDIOMS strives to provide top-tier services, we cannot guarantee that the services will meet all of a client's expectations or specific requirements. We will, however, address any concerns raised promptly. POLYDIOMS's liability for any damages related to our services will be limited to the amount the client paid for the service.

12. SPECIAL AGREEMENTS

  • a) Urgent Requests: Accelerated services may be available upon request and might incur additional fees.
  • b) Specific Dialects or Regional Variations: Requests for specific dialects or regional linguistic variations may be catered to based on POLYDIOMS’s resources and expertise, potentially at an adjusted rate.

13. PREVALENCE

These GTCs take precedence over any prior agreements or conditions between the Purchaser and POLYDIOMS. Non-enforcement of any provision by POLYDIOMS at any time does not constitute a waiver of its rights.

14. NON-SOLICITATION

For two years post-engagement, the Purchaser agrees not to solicit or hire, either directly or indirectly, any of POLYDIOMS's staff or contractors.

15. DATA PROTECTION & PRIVACY

POLYDIOMS is committed to ensuring the protection of personal data and compliance with relevant data protection regulations, including GDPR. All client data collected will be used solely for the purpose of delivering our services, and clients have the right to request a full report on their stored data or its deletion. 16. DISPUTE RESOLUTION

In the event of any disputes arising out of the use of our services, both parties agree to initially attempt to resolve the matter amicably. If an agreement cannot be reached, the parties then agree to proceed to mediation before any litigation is pursued.

17. CONSENT & AGREEMENT

Clients are required to actively agree to these Terms & Conditions (e.g., through ticking a checkbox) before availing of our services. By doing so, they affirm their understanding and acceptance of the stipulated terms.

19. UPDATES & CHANGES TO TERMS

POLYDIOMS reserves the right to update and amend these Terms & Conditions as our services evolve and as legal requirements change. Any significant changes will be communicated to our clients, and continued use of our services post-update signifies acceptance of the revised terms.

20. GOVERNING LAW & JURISDICTION

These Terms & Conditions shall be governed by and construed in accordance with French law. Any disputes arising out of these terms shall be subject to the exclusive jurisdiction of the Paris Court of First Instance (Tribunal de Grande Instance de Paris).

21. FINAL PROVISIONS

In the case that a provision within these Terms & Conditions is found to be invalid, the validity of the remaining provisions shall not be affected. Non-enforcement of a provision in these terms does not constitute a waiver of that provision or the right to enforce it at a later time. By availing of POLYDIOMS's services, clients affirm their understanding and agreement to the above-stated terms.

Entire Agreement
